Definition "Basic British Columbia company incorporation"

A basic British Columbia company incorporation is one for which I charge a flat fee plus disbursements and taxes.  Such an incorporation meets the needs of many of my incorporation clients.

The flat fee covers my taking instructions; making one corporate name reservation submission (of up to three names); checking on approval of the name; preparing directors and officers' consents, the incorporation agreement, the articles, the notice of articles, the incorporation application, certain immediate post-incorporation resolutions, a register of directors, a central securities register, and share certificates; attending upon signature of the incorporation documents at my office; online submission of the incorporation application and notice of articles to the B.C. corporate registry for instant incorporation of the company; attending upon post-incorporation signing of documents; setting up the corporate record book; and reporting to the newly-incorporated company.  The company will have my standard long form articles; one or two persons as shareholders, directors, and officers; and one class (common shares without par value) of shares in an unlimited number. If more than two persons will be involved, a different fee (to be discussed) will be charged,

My time commitment for a basic British Columbia company incorporation is limited to one hour for the taking of instructions and four hours in total, a limitation that rarely is an issue.

Usual steps involved in a basic British Columbia company incorporation are described elsewhere in this website.

If a client wants advice or corporate complexity beyond that provided in a basic British Columbia company incorporation, retainer terms are agreed before additional work is done.
